Disclosure of Material Facts to Us.
Insurers must be presented with a fair and complete statement of the nature of any risk submitted to them and all circumstances material to the insurance must be disclosed. The insurance quotes provided will be based on the information you are submitting Failure to make full disclosure of relevant facts, both before the contract of insurance commences and throughout the duration of the contract, may prejudice your position with Underwriters. This means that a policy may be cancelled, claims may not be paid and you may encounter difficulty in trying to purchase insurance elsewhere. Please note that underwriters may appoint their own surveyor prior to undertaking any restitution work on a property in the event of a claim. If you are uncertain as to whether a circumstance is considered to be a material fact, it is best that you disclose it to your insurance representative.

Binding terms and quotes will be available following the completion of a detailed proposal form (if applicable). Quotations are typically valid for a period of 30 days from their date of release unless communicated otherwise or in the event of a material change in the risk presented.

Introduction
These Terms and Conditions (“Terms”) govern the relationship between Jatco Insurance Managers PCC Ltd (“Jatco”, “we”, “us”, or “our”) and its clients (“you”, “your”, or “Client”) who engage our services for the management of insurance intermediaries, undertakings, and protected cell companies (“Cells”). By accessing or using our services, you agree to be bound by these Terms.
Definitions
- Client: Any insurance broker, intermediary, or undertaking engaging Jatco’s services.
- Cell: A protected cell within Jatco Insurance Managers PCC Ltd, established under the Companies Act (Cell Companies Carrying on Business of Insurance) Regulations.
- Services: Management, regulatory support, compliance oversight, and administrative services provided to Cells and their clients.
Scope of Services
Jatco provides management services to insurance intermediaries and undertakings, including:
- Regulatory compliance and reporting
- Liaison with the Malta Financial Services Authority (MFSA)
- Administrative and operational support
- Oversight of protected cell structures
Jatco does not provide underwriting or claims handling services unless explicitly agreed in writing.
Client Obligations
Clients agree to:
- Comply with all applicable laws and MFSA regulations
- Provide accurate and timely information required for regulatory and operational purposes
- Maintain professional conduct and ethical standards in all dealings
Fees and Payment
- Fees are agreed upon in writing prior to commencement of services.
- Invoices are payable within 30 days of issue unless otherwise specified.
- Late payments may incur interest at the statutory rate under Maltese law.
Confidentiality and Data Protection
- Jatco will treat all client information as confidential and will not disclose it to third parties except as required by law or regulatory authorities.
- We comply with the General Data Protection Regulation (GDPR) and all applicable Maltese data protection laws.
Termination
- Either party may terminate the agreement with written notice.
- Jatco reserves the right to terminate services immediately in cases of breach of law, regulatory non-compliance, or unethical conduct.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Malta. Any disputes shall be subject to the exclusive jurisdiction of the Maltese courts.
Amendments
Jatco reserves the right to update these Terms at any time. Changes will be posted on our website and will take effect immediately upon publication.
